Terms of Service

1. Acceptance of Terms

By creating an account or using Music Kollab ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms at any time - continued use constitutes acceptance.

2. Description of Service

Music Kollab is a mobile platform for music collaboration. The Service allows you to:

• Create and manage music projects
• Upload, organize, and mix audio tracks
• Invite collaborators to work on projects
• Comment and provide timestamped feedback
• Showcase Sound Vibes on your profile
• Export projects to external DAWs

3. Account Requirements

To use Music Kollab, you must:

• Be at least 13 years of age
• Provide accurate registration information
• Maintain the security of your login credentials
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access

One account per person. Shared or automated accounts are prohibited.

4. Subscription Plans

Billing is handled through Apple App Store or Google Play Store. Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date. You can cancel anytime, and access continues through the end of the current billing period.

Refunds are handled by Apple/Google per their respective policies. Founding member pricing ($4.99/month) is locked in for the life of a continuous subscription.

If you downgrade from Pro to Free, weekly interaction limits take effect immediately. However, your existing projects, tracks, and collaborators are never deleted or restricted.

5. Your Content and Ownership

You Own Your Content

You retain full ownership of all audio files, projects, and content you upload to Music Kollab. We do not claim any ownership rights to your music.

License to Music Kollab

By uploading content, you grant us a limited license to:

• Store and process your files on our servers
• Display content to collaborators you invite
• Generate waveforms and audio analysis data
• Create backups for service reliability

This license ends when you delete your content or account.

Content Responsibility

You are solely responsible for ensuring you have the rights to upload content. Do not upload copyrighted material you don't own or have permission to use.

6. Collaboration Terms

When collaborating with other users:

• Project owners control collaborator permissions
• Permissions include: upload, edit, delete, comment, download, invite, export
• Collaborators can be removed at any time by the project owner
• Revenue splits and ownership agreements are between collaborators

Music Kollab is NOT a party to any agreements between collaborators. We provide tools to facilitate collaboration but do not mediate disputes or enforce revenue arrangements. Document your agreements externally.

7. Acceptable Use Policy

You agree NOT to:

• Upload content you don't have rights to
• Upload malware, viruses, or harmful code
• Harass, threaten, or abuse other users
• Spam or send unsolicited content
• Create multiple accounts to bypass weekly interaction limits
• Use automated systems for sparks or collaboration requests
• Attempt to bypass security measures or subscription limits
• Use the Service for illegal activities
• Impersonate others or misrepresent your identity
• Scrape, crawl, or automate access to the Service
• Reverse engineer or decompile the app

Violation may result in immediate account termination without refund.

8. Service Availability

We strive to provide reliable service, but:

• We do NOT guarantee 100% uptime
• Maintenance may occur with or without notice
• Features may be modified or discontinued
• We are NOT liable for data loss

9. Account Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in abusive behavior
• Upload infringing content repeatedly
• Fail to pay subscription fees
• Are inactive for extended periods (12+ months)

You may delete your account at any time from Settings. Upon deletion, all your data will be permanently removed and cannot be recovered.

10. Intellectual Property

The Music Kollab platform, including all software, design, logos, and features, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without written permission.

11. Copyright Policy (DMCA)

Music Kollab respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). We respond to valid takedown notices and will remove infringing content upon receipt of a proper notice.

To Submit a Takedown Notice

If you believe content on Music Kollab infringes your copyright, send a written notice to legal@musickollab.app including:

• Your name, address, phone number, and email
• Identification of the copyrighted work you claim has been infringed
• Identification of the infringing content and its location on the Service
• A statement that you have a good faith belief the use is not authorized
• A statement that the information is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice to legal@musickollab.app. Upon receipt of a valid counter-notice, we may restore the content within 10-14 business days unless the complaining party seeks a court order.

Repeat Infringers

We will terminate accounts of users who are repeat copyright infringers.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUSIC KOLLAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, revenue, or profits
• Service interruptions
• Unauthorized access to your account
• Actions of other users or collaborators
• Third-party content or services

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold Music Kollab harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. Class action lawsuits and class-wide arbitrations are waived. For disputes under $10,000, you may choose small claims court instead.

16. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
